NTN EU, acting on behalf of its subsidiaries, including all companies in the NTN group to which NTN EU belongs, has launched the website "www.snr-garage.com" (© NTN Europe) (hereinafter referred to as the "Website"), which is primarily accessible to professional users but also to the general public wishing to obtain information on all the Products and Services associated with the automotive aftermarket range marketed by NTN EU.
The services offered by NTN EU via the Website are as follows (hereinafter referred to as the "Services"):
- Information on SNR/NTN products: Specifications, OE equivalents, applicable vehicles, documentation;
- Online purchases of Products (tools, consumables, goodies) and Services;
- Access to management software: price comparison tool for all brands of automotive parts, ordering, assistance in preparing quotes for customers, invoicing customers and making appointments with end customers;
- Online assistance;
- Loyalty program;
- Extended warranty on products purchased under the SNR/NTN brand;
- Training: tutorials, e-learning, webinars, classroom training catalogue.
Please note that the following Services are available exclusively to Certified Garages:
- Online purchases of products at preferential rates
- Access to management software
- A number of tickets per month to online support included and a preferential rate for additional tickets
Other Services are available to all garages, it being specified that Certified Garages will benefit from preferential conditions, particularly in terms of price and accessibility.
These General Terms and Conditions of Subscription (hereinafter "GTC Subscription") apply to Subscribing Garages and Certified Garages.
Acceptance of these GTC Subscription establishes a contractual relationship between Certified Garages or Subscribers and NTN EU. They expressly replace and cancel any previous contracts or agreements between Certified Garages or Subscribing Garages and NTN EU with the same purpose.
ARTICLE 1: DEFINITIONS
The terms used in these GTC Subscription, identified by the first letter in capital letters, in the singular or plural, shall have the meaning defined in this article, unless the context clearly requires a different meaning:
Certified Garage: refers to a garage that has successfully completed the certification procedure established by NTN EU and has taken out a Subscription via the Website.
Confidential Code: refers to the personal code consisting of a username and password allowing the Certified Garage or Subscribing Garage to access its account via the Website.
Customer Account: refers to the personal space of the Subscribing Garage or Certified Garage available on the Website, which allows it to access its information, Products and Services, Orders and its Subscription.
GTC Subscription: refers to these Subscription Terms and Conditions and its appendices, which form an integral part thereof.
Offer: refers to the various types of Subscriptions offered by NTN EU to Subscribing Garages and Certified Garages, enabling them to benefit from the Services.
Order: refers to any order for Services and Products placed on the Website by the Subscribing Garage or Certified Garage.
Party(ies): refers individually to NTN EU or the Subscribing Garage or Certified Garage and collectively to NTN EU and the Subscribing Garage or Certified Garage.
Products: refers to all SNR or NTN brand products (goodies, consumables, tools) marketed by NTN EU on the Website, as well as information associated with these Products.
Services: refers to all services offered by NTN EU listed on page 1 of these GTC Subscription and described in more detail on the Website.
Subscribing Garage: refers to a garage that has not undergone the certification procedure established by NTN EU and defined on the Website but has taken out a "Light" Subscription.
Subscription: refers to one of the four Offers proposed by NTN EU within the framework of these GTC Subscription, enabling Subscribing Garages or Certified Garages to purchase a Product or benefit from a Service.
ARTICLE 2: TERMS AND CONDITIONS OF USE OF THE WEBSITE / DESCRIPTION OF THE OFFERS PROVIDED BY NTN EU
2.1. General principles / Certification
The terms and conditions of use of the Website are available at https://snr-garage.com/fr
Within the framework of the Services offered by NTN EU, if the Subscribing Garage or the Certified Garage wishes to purchase Products or Services, it undertakes to order them via the Website and to use them solely for its own needs.
The Subscribing Garage or Certified Garage undertakes not to make unlawful use of any of the Products and Services accessible via the Website or to use them in a manner contrary to public order and morality or with a view to committing administrative, civil or criminal offences.
When subscribing to Subscriptions or purchasing Products and/or Services, the Subscribing Garage or Certified Garage undertakes to provide complete, accurate and up-to-date information when entering it and, in particular, not to use false names or addresses, or names or addresses without authorization.
In the event of non-compliance by the Subscribing Garage or Certified Garage with the principles set out in this article, the Subscribing Garage or Certified Garage may be held liable by NTN EU.
To obtain certification, the garage must complete a specific questionnaire online via the Website. If the garage obtains an average score on the questionnaire and provides NTN EU with the requested information and photos (by uploading them to the Website), it will obtain its certification, which will be communicated to it by NTN EU.
2.2 Access to the Website and Confidential Code
Access to the content of the Subscriptions requires the creation of a Customer Account on the Website in accordance with the procedure indicated on the Website.
To access the Customer Area, the Subscribing Garage or Certified Garage must create its Confidential Codes in accordance with the instructions on the Website. It shall be solely responsible for the Confidential Codes sent to it by NTN EU and for the use it makes of them.
In the event of a change of address or VAT ID associated with a Customer Account, the Subscribing Garage or Certified Garage must create a new Customer Account.
The Subscription is concluded for the exclusive use of the Subscribing Garage or Certified Garage. They are therefore prohibited from transmitting or communicating their Confidential Codes to a third party. Otherwise, NTN EU cannot be held responsible for unauthorized access to the Customer Area of the Subscribing Garage or Certified Garage by an unauthorized user.
If multiple accesses associated with a Customer Account are created, each person with access undertakes not to transmit or communicate their Confidential Codes to an unauthorized third party; the Subscribing Garage or Certified Garage remains solely responsible for the use made by each person associated with its account.
It is expressly agreed that any connection to the Site or transmission of data using the Confidential Codes of a Subscribing Garage or Certified Garage shall be deemed to have been made by the said Garage. Under no circumstances shall NTN EU be held liable in this respect.
In the event of loss, theft or disclosure by the Subscribing Garage or Certified Garage to unauthorized third parties of its Confidential Codes, it must immediately notify NTN EU. This notification must be made by the Subscribing Garage or Certified Garage by email to the following email address: mail.certified-garage@ntn-snr.fr
2.3 Subscribing to Memberships via the Website
NTN EU offers four (4) types of Offers via the Website:
- "Light" Subscription;
- "Basic" Subscription;
- "Pro" Subscription;
- "Premium" Subscription.
The "Light" Subscription is available to all Garages after they have created their Customer Account; the "Basic", "Pro" and "Premium" Subscriptions are only available to Certified Garages.
Details of the content of each Subscription, including the associated financial terms and conditions, are set out on the Website. They are also available on the subscription page for each Subscription.
Subscribing to a Subscription provides access to the Products, Services and related information offered by NTN EU.
Access to the Services included in each Subscription will therefore only be granted after payment of the fees associated with the selected Subscription.
Once the Subscription has been selected and payment for the associated Subscription has been made, the Subscribing Garage or Certified Garage will receive an email inviting them to log in to their personal account and set a Confidential Code in order to access the Services.
Each Subscribing or Certified Garage may, at any time, even during the first year, change their Subscription to a higher level via their Customer Account; it is not possible to change to a lower level Subscription. If the Subscription is annual, the change of Subscription will take effect the following year. If the Subscription is monthly, the change of Subscription will take effect the month following the request for change.
The number of connections to the personal space of the Subscribing Garage or Certified Garage is unlimited.
In return for subscribing to a Basic, Pro or Premium subscription, a starter kit will be offered by NTN EU to each Certified Garage that has subscribed to one of these subscriptions after obtaining its certification. This starter kit, which is an exclusive benefit reserved for Certified Garages, will be delivered by post or courier as soon as possible after NTN EU has received payment for the Basic, Pro or Premium Subscription.
2.4. Services included in the Subscriptions
Certified Garages, regardless of their Subscription, can access the following Services via the Website:
- Information on SNR/NTN products: specifications, OE equivalents, relevant vehicles, documentation;
- Preferential online purchases of Products (tools, consumables, goodies) and Services;
- Access to management software;
- A number of tickets per month to Online Support included and a preferential rate for additional tickets;
- Loyalty programme;
- Extended warranty for products purchased under the SNR/NTN brand;
- Training: tutorials, e-learning, webinars, classroom training catalogue;
Garages that have taken out a "Light" subscription can access the following Services via the Website:
- Information on SNR/NTN products;
- Online purchases of Products at standard public price
- Online support at standard public price
- Loyalty program
- Extended warranty for products purchased under the SNR/NTN brand;
- Training: tutorials, e-learning, webinars, classroom training catalogue;
NTN EU reserves the right, at any time, to delete or modify the content of the Services offered to Subscribing or Certified Garages. Modifications or deletions to the Services will be applicable from the date of implementation indicated by NTN EU on the Website, regardless of the date of subscription to the said Subscriptions.
2.5. Purchases of Products on the Website
Subscribing or Certified Garages may place individual orders with NTN EU for Products available on the Website. Unless otherwise stated, these Orders shall be governed by NTN EU's General Terms and Conditions of Sale and Service, which are available on the Website.
ARTICLE 3: CERTIFICATION TERM - RENEWAL AND TERMINATION
3.1 NTN EU offers a free trial for each Subscription for a period of thirty (30) days. If the Subscribing Garage or Certified Garage does not wish to confirm its Subscription at the end of the free trial offer, it must unsubscribe via the specific link on the Website via its Customer Account. Otherwise, the Subscription will start.
The Subscription has a minimum fixed term of one (1) year, starting at the end of the first 30 days of free access.
Under no circumstances may the Subscribing Garage or Certified Garage terminate its Subscription during its first year of subscription.
3.2 At the end of the first year of subscription, the Subscription term shall be tacitly renewable for a period of one (1) year unless terminated by the Subscribing Garage or Certified Garage on the Website via its Customer Account. Termination shall take effect at the end of the month in which the Subscribing Garage or Certified Garage unsubscribes.
It is specified that in the case of a Subscription with annual or monthly payment, termination will not give rise to any refund by NTN EU.
At the end of two (2) years of Pro, Basic or Premium Subscription, NTN EU will ask the Certified Garage to complete a form to update its certification in order to continue to benefit from the Services offered; the answers provided will enable NTN EU to decide whether or not to renew its certification.
3.3 NTN EU may, at any time, terminate the Subscription and block access to the Customer Account in the event of misconduct by the Subscribing Garage or Certified Garage, including but not limited to failure to comply with the certification criteria for Certified Garages, failure to comply with these GTC Subscription, use of the Products or Services that does not comply with NTN EU's General Terms and Conditions of Sale, failure to comply with the Loyalty Program and, in particular, fraudulent acquisition or use by the Garage of its loyalty points; it being specified that NTN EU also reserves the right the right to hold the Subscribing Garage or Certified Garage liable and to claim damages in compensation for the loss suffered. No refund of the Subscription will be made by NTN EU. In addition, termination by NTN EU will result in the Subscribing Garage or Certified Garage paying all sums due and not yet paid under its Subscription.
Similarly, NTN EU may terminate the Subscription and block access to the Customer Account immediately and automatically, notwithstanding the fulfilment by the Subscribing Garage or Certified Garage of its contractual obligations, in the event of collective proceedings being brought against the Subscribing Garage or Certified Garage, its dissolution, or transfer of business, after written notification to the Subscribing Garage or Certified Garage or to the judicial administrator. No refund of the Subscription shall be made by NTN EU.
ARTICLE 4: PRICES, INVOICING AND PAYMENT TERMS
4.1. Subscription Prices and Formalities
The Subscribing Garage or Certified Garage shall pay for its Subscription
- by direct debit in countries belonging to the single Euro payments area
- by credit card for other countries choosing to pay in a currency other than euros
either annually at a preferential rate or monthly. The rates are indicated on the Website and the payment terms (annual or monthly) must be chosen by the Subscribing Garage or Certified Garage on the Website. When subscribing to the Subscription, it will enter its bank details in order to proceed with the payment of the Subscription.
The price of the Subscription is specific to each Offer depending on its nature as described on the Website. The price of the Subscription is that in force on the day of subscription by the Subscribing Garage or Certified Garage. It is specified that as the price of the Subscription is set in euros, NTN EU reserves the right to modify the price of the Subscription expressed in another currency if the exchange rate changes.
The Subscribing Garage or Certified Garage accepts that the price of Subscriptions provided by NTN EU may be subject to subsequent changes, of which NTN EU will give reasonable advance notice. However, it is specified that for Certified Garages, price increases will only apply from the renewal of the said Garage's certification.
Any Subscription month that has already begun shall be payable by the Subscribing Garage or Certified Garage.
4.2. Subscription billing and payment terms
Payment for each Subscription shall be made to the account of the Subscribing Garage or Certified Garage:
- by direct debit in euros for countries belonging to the single Euro payments area (SEPA)
- by credit card for other countries choosing to pay in a currency other than Euros
If the Subscribing Garage or Certified Garage chooses to pay monthly, the direct debit will be made on the 1st of each month, it being specified that the first monthly payment will be calculated on a pro rata basis and will be debited on the day following the first 30 days of free access referred to in Article 3.1 above.
If annual payment is chosen, the payment will be taken on the day following the 30 days of free access referred to in Article 3.1 above.
In the event of non-payment not remedied within one (1) month, NTN EU reserves the right to suspend the Subscription. Said suspension shall in no way suspend the obligation of the Subscribing or Certified Garage to pay the amounts due to NTN EU under the Subscription. The Subscription will be reinstated once all outstanding payments have been made in full. In any event, if a payment default occurs twice, NTN EU reserves the right to terminate the Subscription without incurring any liability.
However, the defaulting Subscribing or Certified Garage shall remain liable, as a penalty clause, for all sums due prior to termination of the Subscription, as well as all sums due for the remaining period of the Subscription until its normal expiry date.
ARTICLE 5: LIABILITY
Each Party undertakes to fulfil its obligations under the Subscription in accordance with the applicable legislation.
NTN EU is subject to an obligation of means and will make every effort to respond professionally and in accordance with best practice in the performance of its duties.
NTN EU may be held liable under these terms and conditions in the event of a breach by NTN EU of its contractual obligations and if such breach is solely attributable to NTN EU.
In any event, in the event that NTN EU is held liable, the amount of compensation owed by NTN EU to the Subscribing Garage or Certified Garage under these terms and conditions shall not, in any way and regardless of the basis for such liability, exceed the total amount actually paid to NTN EU by the Subscribing Garage or Certified Garage under the Subscription during the six (6) months preceding the occurrence of the event giving rise to NTN EU's liability.
Under no circumstances shall NTN EU be held liable for indirect damages such as, but not limited to, loss of profits, loss of image or loss of earnings suffered by the Subscribing Garage or Certified Garage.
Tutorials and information (including documentation) related to the Products and Services or obtained via the hotline are freely accessible through the Site. They are provided "as is" without warranty of any kind. Consequently, the Subscribing Garage or Certified Garage shall refrain from any action for compensation against NTN EU for any damage caused to itself or to a third party and arising from the use of these tutorials, information and documentation.
It is the sole responsibility of the Subscribing Garage or Certified Garage to judge the relevance of the written material, videos, information obtained via the hotline, webinars (live and replay) used and the validity over time of the information collected via the Site and during its Subscription. This information is provided for information purposes only, without any guarantee of any kind.
The Subscribing Garage or Certified Garage is informed that the information contained in the Products and/or Services, in addition to the fact that it is subject to updating and/or change, particularly due to ongoing regulatory developments and court decisions, is intended to supplement other sources of information and the Subscribing or Certified Garage's own expertise. Consequently, it is not necessarily complete or up to date and is provided "as is" without warranty of any kind.
ARTICLE 6: PROTECTION OF PERSONAL DATA
In the context of Subscriptions, NTN EU may be required to process personal data relating to Subscribing Garages or Certified Garages. These data refer to any information that allows Subscribing or Certified Garages to be personally identified, either directly or indirectly (hereinafter "Personal Data").
The collection, processing and security of this Personal Data are governed by the provisions of Law No. 78-17 of 6 January 1978, known as the "Data Protection Act", and by the European General Data Protection Regulation (GDPR), which has been applicable since 25 May 2018.
The bank details of the Subscribing or Certified Garage will be processed in accordance with the principles defined on the Website.
For more information on how NTN EU collects and processes Personal Data within the framework of these GTC Subscription and the rights that Subscribing or Certified Garages have to control their Personal Data and protect their privacy, Subscribing or Certified Garages may consult NTN EU's Privacy Policy available on the Website.
ARTICLE 7: CONFIDENTIALITY
This article shall prevail over any other confidentiality agreement signed between the Parties in connection with the subject matter hereof.
In the context of the hotline and live webinars, NTN EU is authorized by the Subscribing Garage or Certified Garage to keep a record of questions mentioning, among other things, the name of the Subscribing Garage or Certified Garage and/or the person who asked the question. The Subscribing Garage or Certified Garage may, upon express written request, be provided with a list of the questions asked.
Each Party hereby undertakes to keep, for the entire duration of the Subscription and for five (5) years after the date of its expiry or termination, all information exchanged with the other Party (" Confidential Information"), whether provided during exchanges and discussions before or after the date of signing up for the Subscription, strictly confidential and shall not disclose such Confidential Information to third parties.
The receiving Party shall use all Confidential Information solely for the performance of its obligations hereunder and for no other purpose than hereunder, and shall exercise the same degree of skill and care in protecting the Confidential Information of the disclosing Party as it uses to protect its own information, but shall not be less than a standard of reasonable care.
The receiving Party may disclose Confidential Information relating to the disclosing Party only to its directors, officers, employees, affiliates ("Authorized Personnel"), provided that such Authorized Personnel have a need to know and are aware of and bound by non-disclosure and non-use obligations as consistent as those provided for in this section. In all cases, the receiving Party shall remain liable to the disclosing Party for any breach of this section by any of its Authorized Personnel.
The receiving Party undertakes not to duplicate or reproduce the Confidential Information relating to the disclosing Party, unless such duplication or reproduction is necessary for the performance of its obligations hereunder and is disclosed only to its Authorized Personnel.
The disclosure of Confidential Information to third parties such as subcontractors shall be subject to the prior written approval of the disclosing Party. In the event of such consent, such third parties shall be bound by the same confidentiality obligations as those provided for in this Article. In all cases, the receiving Party shall remain liable to the disclosing Party for any breach of this clause by any such third party.
The Subscribing or Certified Garage warrants that neither it nor its employees or associates will disclose to NTN Europe, in the performance of its obligations hereunder, any information which, to its knowledge, is secret, confidential or proprietary information of a third party, whether a person, business or company.
The confidentiality obligation shall not apply to Confidential Information:
- which was already in the public domain at the time of its disclosure to the receiving Party or which has fallen into the public domain after its disclosure without any breach by the other Party of the provisions of this article;
- which was known to the receiving Party prior to its disclosure without breach of this article or any confidentiality obligation;
- which is the result of independent work and development carried out in good faith by one of the Parties without the use of Confidential Information disclosed by the disclosing Party and in the absence of any fault attributable to it;
- whose use or disclosure has been previously authorized in writing by the disclosing Party;
- which is lawfully received from a third party, by legal means, without breach of this clause;
- which are legally requested by any judicial, administrative or governmental authority competent in this regard; provided that the receiving Party promptly notifies the disclosing Party in writing upon receipt of such judicial or administrative order and/or prior to any disclosure, in order to allow the disclosing Party to seek a protective order or other appropriate relief or to waive compliance with the binding provisions of this Article; and provided further that the receiving Party takes all reasonable and lawful steps to obtain confidential treatment for such disclosure and to minimize the scope of the disclosure, and that the receiving Party provides only that portion of the Confidential Information that is legally required to be disclosed.
In all such cases, the burden of proof shall be on the receiving Party, it being understood that only written evidence shall be admissible.
ARTICLE 8: INTELLECTUAL PROPERTY RIGHTS
In the context of implementing the Subscriptions, NTN EU may be required, for information purposes and on a non-exclusive basis, to provide the Subscribing Garage or Certified Garage with elements or copies of documentation in printed and/or electronic form for its own strictly internal purposes.
All responses and items delivered to the Subscribing Garage or Certified Garage are protected by the provisions of the Intellectual Property Code.
NTN EU is and remains the owner of the copyright, reproduction and representation rights attached to all documents and items made available to its Subscribing or Certified Garages.
The GTC Subscription do not confer on the Subscribing Garage or Certified Garage any title or right to use NTN EU's intellectual property rights.
The Subscribing or Certified Garage is required to comply with copyright legislation concerning all documents made available to it and, more generally, all intellectual property rights held by NTN EU.
Under no circumstances may it transmit to third parties, for a fee or free of charge and in any form whatsoever, any of the items or parts of items made available to it in any form by NTN EU.
In particular, they shall refrain from:
- any reproduction for the purpose of marketing, circulation, rebroadcasting, distribution or publication of the documents, videos and webinars (live and replay) contained on the Website;
- any representation, even partial, of said documents, videos and webinars (live and replay), in particular by means of online communications to the public or public screenings;
- any permanent or temporary reproduction of the software, in whole or in part, by any means and in any form, including during loading, display and execution;
- any representation, even partial, of the software, in particular by means of online communications to the public or public screenings;
- any translation, adaptation, arrangement or modification of the software, as well as any export or merger of the software with other computer applications
- and, more generally, any act of counterfeiting or infringement of NTN EU's intellectual property rights.
Any violation of the provisions of this article or of the provisions of the Intellectual Property Code may result in the termination of these GTC Subscription and legal proceedings against the Subscribing Garage or Certified Garage.
The Subscribing or Certified Garage acknowledges that if it is asked by NTN EU to participate in advertising or commercial campaigns, NTN EU will provide it with an image rights assignment form, which it undertakes to sign in order to regulate the use of its name and/or image.
ARTICLE 9: ETHICS
The Subscribing or Certified Garage shall not give NTN EU staff, and NTN EU staff shall not accept or seek, any gifts, favours or invitations, or any other benefits for themselves or for anyone else, from the Subscribing Garage or Certified Garage with which the staff member has (or has had) a business relationship, which could influence (or appear to influence) their impartiality in the performance of their duties or constitute (or appear to constitute) remuneration in the context of their activities.
More generally, the Subscribing Garage or Certified Garage undertakes not to take part in any action that could be considered or appear to constitute illegal solicitation, fraud, active or passive corruption, or commercial practices deemed unethical or non-compliant with applicable law.
ARTICLE 10: REFERENCES
The Subscribing Garage or Certified Garage expressly authorizes NTN EU to mention its company name and use its logo as a commercial reference for its prospects and/or customers or for the promotion of the Site without having to obtain the prior consent of the Subscribing Garage or Certified Garage.
ARTICLE 11: FORCE MAJEURE
NTN EU shall not be liable for any failure to perform any of its obligations that is attributable to a case of force majeure. All circumstances, causes or events that are beyond the control of NTN EU shall be considered cases of force majeure, including, but not limited to, strikes, lockouts, measures or restrictions imposed by government authorities, wars, threats of war, hostilities, insufficient means of transport, revolutions, epidemics, fires or floods that may hinder the normal performance of these GTC Subscription.
If NTN EU wishes to invoke force majeure, it must inform the Subscribing Garage or Certified Garage within thirty (30) days of the occurrence. The performance of the GTC Subscription shall then be suspended for the duration of the force majeure event. If such suspension lasts for more than three (3) months, NTN EU may terminate these GTC Subscription by blocking access to Customers Accounts.
ARTICLE 12: INVALIDITY
In the event that any provision of the GTC Subscription is deemed illegal, void or unenforceable by virtue of a law, regulation or court decision, only that provision shall be deemed unwritten, without this affecting the other provisions herein, which shall remain in full force and effect.
ARTICLE 13: NON-WAIVER
The fact that one of the Parties does not require the application of any clause of these GTC Subscription, either permanently or temporarily, shall in no way be considered a waiver of its rights under these Terms and Conditions, unless such waiver is expressly mentioned in these GTC Subscription.
ARTICLE 14: RELATIONS BETWEEN THE PARTIES
The Parties declare that they have the capacity to enter into contracts and make commitments without any reservations towards each other.
The Parties are and shall remain independent of each other, with no relationship of subordination between them.
Nothing in these GTC Subscription constitutes or may be regarded as constituting a partnership agreement between the Parties or as designating one Party as an agent of the other Party for any purpose whatsoever. No Party shall have the capacity or power to bind the other Party, to contract on its behalf or to impose any liability whatsoever on it for any purpose whatsoever.
The Parties shall not be liable for any act, omission or statement of the other Party.
ARTICLE 15: APPLICABLE LAW – SETTLEMENT OF DISPUTES
These GTC Subscription are subject to French law for their validity, interpretation and enforcement, without application of its conflict of law rules.
In the event of a dispute, the Parties shall make their best efforts to negotiate in good faith with a view to resolving the dispute amicably. If the Parties are unable to reach an amicable solution within three (3) months, the dispute shall be submitted to the exclusive jurisdiction of the courts of Annecy, France.
These GTC Subscription have been drafted in French. If they are translated into another language, in the event of any contradiction between the two versions, the French version shall prevail.
APPENDIX 1: General Conditions of Service Hotline/Support
All terms beginning with a capital letter and not specifically defined have the meaning given to them in the General Subscription Terms and Conditions.
1. General Information
These General Terms and Conditions of Service (GTCS) govern the use of the hotline/support services (hereinafter the "Hotline Service") provided by NTN Europe and its subcontractor(s) to subscriber Garages and certified Garages (hereinafter "Garages"). These Hotline GTCS constitute an Appendix to the General Subscription Terms and Conditions, which they are intended to supplement with regard to the Hotline Service in particular.
By using our Hotline Service, you agree to comply with these GTCS. Please read them carefully before using our platform.
2. Purpose and description of the Service
A remote hotline/assistance service via videoconferencing and instant messaging (chat) is available to Garages.
The Hotline Service enables Garages to:
- Obtain technical assistance on all brands of automotive replacement products;
- Obtain advice on installation, diagnosis or parts identification;
- Be directed to additional technical resources;
- The Hotline Service does not replace on-site intervention or a complete fault diagnosis.
The Hotline Service is provided by NTN Europe's subcontractor via NTN Europe's "Tech Kol Centre (TKC)" support software in SaaS (Software as a Service) mode.
The TKC software includes features such as:
- Live video,
- Video pointer and annotations,
- Multilingual translation via AI,
- Chat room,
- Intervention report generation,
- Intervention traceability: Each intervention is recorded and can be tracked at any time thanks to our integrated traceability system. This guarantees comprehensive management of each case and total transparency for clients.
- Artificial Intelligence (AI): Our AI solution, including a Large Language Model (LLM), is used to analyze and respond to technical support requests.
NTN Europe reserves the right to upgrade the TKC software, in particular by making new features available or by modifying / removing features.
3. Accessibility of Hotline Services
The Hotline Service is accessible in the European territorry:
- Via the dedicated online space on the website https://snr-garage.com (hereinafter the "Website").
- Via the chatbot on the Website
- Monday to Friday (excluding public holidays), from 8:00 a.m. to 4:00 p.m, French time.
Access to the Hotline Service is reserved for registered mechanical professionals with a valid customer account.
NTN Europe reserves the right to suspend or terminate a Garage's access to the Hotline Service in the event of non-compliance with these GTCS or applicable laws and regulations.
The Hotline Service may be temporarily suspended in the event of maintenance or overload.
4. Pricing – Subscription
Access to the Hotline Service is charged per ticket (per support request) or by subscribing to a Basic, Pro or Premium subscription, which includes a certain number of tickets per month (depending on the subscription). Beyond the number of tickets included in the subscription, each additional ticket is charged at a preferential rate.
Details of the content of each subscription, including the associated financial terms and conditions and ticket prices, are set out on the Website and in the General Subscription Terms and Conditions. They are also available on the subscription page for each subscription.
5. Garage commitments
The Garage using the Hotline Service undertakes to:
- Provide accurate information when making requests;
- Use the Hotline Service for professional purposes only;
- Not misuse the Hotline Service for fraudulent or abusive purposes or for purposes other than those for which it is intended.
In the case of a subscription with Hotline Service tickets included, only the person with the role of "administrator" of the account on the Website may initiate a support request that generates a ticket.
6. Intellectual property
All intellectual property rights relating to the TKC plateform, including the SaaS solution and associated documentation, are the exclusive property of NTN Europe. The Garage may only use the TKC platform and its components in connection with the use of the Hotline Service, as defined in these GTCS.
The content on TKC, including but not limited to text, graphics, images and logos, is the property of NTN Europe or is used with the permission of the rights holders. Any reproduction or representation, in whole or in part, distribution or unauthorized use of this content is prohibited and constitutes an act of counterfeiting that may result in legal proceedings and criminal and/or civil penalties in accordance with the Intellectual Property Code and, in general, the applicable legislation on intellectual property rights.
7. Limitations of liability
NTN Europe and its subcontractor providing the Hotline Service cannot be held liable for:
- Any direct or indirect damage related to the use of TKC, and in particular for any interruption or malfunction following an update, upgrade, reset or modification of the TKC software architecture.
- Consequences arising from misinterpretation of the advice provided;
- Any direct or indirect damage in the event of misdiagnosis, incorrect installation or breakdown resulting from improper use of the Hotline Service or failure by the Garage to comply with these GTCS;
- Any indirect damage or loss resulting from the use of the Hotline Service.
Despite our efforts to ensure the reliability of the information, NTN Europe cannot be held liable for any inaccuracies or omissions.
8. Protection of personal data
Personal data is collected and processed by NTN Europe (data controller) and its subcontractor in connection with the provision of the Hotline Service.
This personal data is processed in order to offer and provide the Hotline Service, in particular via the TKC software.
It is specified that calls may be recorded for the purposes of Hotline Service quality or training.
NTN Europe ensures that its service providers and subcontractors comply with its instructions, implement all appropriate measures to guarantee the security of users' personal data and comply with the applicable regulations.
Personal data will be stored for the period necessary to provide the Hotline Service and beyond, on the TKC software, for a period of ten (10) years.
NTN Europe implements all appropriate measures to ensure the security and confidentiality of the personal data processed.
In accordance with the applicable regulations on the protection of personal data and within the applicable limits, users whose data is collected may exercise their right to access, rectify, oppose, transfer, limit the processing and delete their personal data by sending a request to the following address: dpo@ntn-snr.com. Users also have the right to appeal to the Commission Nationale de l'Informatique et des Libertés (CNIL, ie. the French Data Protection Authority).

9. Data Security and Management via TKC software
9.1. Hosting and certifications
- Application interface: The TKC interface is hosted by Cloudflare in France and is ISO 27001 certified.
- Servers and databases: The server part is hosted on a dedicated AWS server in Paris, France. The main database is also hosted in Paris, with a replica of the data in a separate data center also located in Paris. AWS is ISO 27001 certified.
- Document management: Documents are stored on Amazon S3, hosted in Paris with a replica in another Parisian data center.
9.2. Artificial Intelligence (AI) hosting
- The artificial intelligence used by TKC runs on a dedicated OVH server located in Paris, France. When analyzing documents, the texts are transformed into vectors and are automatically deleted from the server after processing, thus ensuring data security.
- The Large Language Model (LLM) used for AI is open-source and is not connected to any web database. It is only accessible via TKC's private DNS.
9.3. Access and data security
- Authentication and access management: Authentication is performed at the application level and is compatible with identity federation methodologies (SSO). Access is restricted and actions are tracked via a centralised logging system.
- Data flow encryption: All data flows between TKC servers and users are secured by HTTPS (TLS1.2 / 1.3) to guarantee the confidentiality and integrity of the data exchanged.
- Intrusion protection: TKC uses tools such as Cloudflare, as well as a 24/7 outsourced SOC, to protect access to data and prevent any intrusion attempts.
- Data security: Data is compartmentalised and can only be accessed by authorized persons. TKC applies the principle of least privilege for access to production data.
9.4. Physical security and incident management
- Physical security: Physical security measures are in place to protect access to the data centers hosting TKC and user data.
- Incident management: In the event of a security incident, a crisis unit is activated to minimize risks and ensure a rapid and effective response. Any deviation from security standards is documented and corrected.
10. Hyperlinks and cookies
TKC may contain links to other websites. NTN Europe is not responsible for the content or operation of these third-party websites. The use of cookies may be necessary for the proper functioning of some services ; users can manage and refuse the use of cookies via their browser settings.
11. Changes to the GTCS
NTN Europe reserves the right to modify these GTCS at any time. Garages will be informed of any changes via the Website. The new GTCS will be applicable as soon as they are published, unless otherwise stated.
12. Applicable law and jurisdiction
These GTCS are governed by French law, excluding its conflict of law rules. In the event of a dispute, the parties shall attempt to seek an amicable solution to the dispute. Failing this, the courts of Annecy (France) shall have jurisdiction.
These GTCS have been written in English for users outside France. In the event of any contradictions with the French version, the English version shall prevail for users outside France.
APPENDIX 2: Loyalty Program Rules - SNR Certified Garages
All terms beginning with a capital letter and not specifically defined shall have the meaning given to them in the Subscription Terms and Conditions.
1. PURPOSE
NTN Europe (hereinafter "NTN EU") has set up a loyalty program for Subscriber Garages. The purpose of the loyalty program is to enable Subscriber Garages to earn points through various actions and to use them under the terms and conditions set out below (the "Loyalty Program").
The Loyalty Program is open to Subscriber Garages, regardless of their Subscription. The Loyalty Program is operated via the Website.
NTN EU is the organizer and responsible for the Loyalty Program.
2. DEFINITIONS
Purchases
Purchases refer to purchases of NTN/SNR brand products and purchases of products marketed by NTN EU on the Website, made by the Participant. Purchases give rise to the acquisition of loyalty points under the conditions detailed in these Loyalty Program rules.
Missions
Missions refer to actions carried out by the Participant that enable him to accumulate loyalty points under the conditions detailed in these Loyalty Program rules.
Participant
The Participant refers to any Subscribing Garage that has taken out a Subscription and accumulates loyalty points as part of the Loyalty Program.
Website
The Website is defined as the website https://snr-garage.com managed by NTN EU, on which the Participant will have access to all information relating to his personal account, his loyalty points, his Status, and where he will be able to make Purchases.
Status
The Participant's Status is determined in particular by the number of XP points accumulated. The Loyalty Program provides for four statuses, the definition, conditions of access, and benefits of which are detailed in Article 4.2.
Loyalty Points
Participants can earn loyalty points in several ways:
- Purchasing products (excluding services) on the snr-garage.com online store;
- Registering SNR or NTN parts;
- Submitting a warranty claim, if approved, for registered SNR or NTN parts;
- Completing Missions, although this is not mandatory as part of their Subscription.
Loyalty points do not count towards Status. They can be converted.
XP Points
Participants can earn XP points in several ways:
- Purchasing products (excluding services) from the snr-garage.com online store;
- Registering SNR or NTN parts;
- Completing Missions, although this is not mandatory as part of their Subscription.
XP points are used solely for Status purposes. They cannot be converted into other rewards.
3. REGISTRATION AND UNSUBSCRIPTION
3.1. Registration and account activation
Participation in the Loyalty Program is free for Subscribing Garages.
To register, Participants must visit the Website https://snr-garage.com.
Once the Subscription has been validated and verified in accordance with the General Subscription Terms and Conditions, the Participant's loyalty account is automatically created, with a username and password that are strictly personal and which the Participant undertakes not to disclose or pass on to third parties. Participation in the Loyalty Program is strictly personal.
Access to the Loyalty Program is included in the Subscription chosen by the Participant and does not entail any additional cost.
Each Participant can check his loyalty points balance by visiting the Website and logging into his personal account. In addition, NTN EU may contact the Participant electronically to inform him of his points balance and news about the Loyalty Program.
3.2. Exclusion and termination of participation in the Loyalty Program
Any fraud or attempted fraud (e.g., registering the same Purchase multiple times to multiply the number of loyalty points accumulated) or failure to comply with these rules may result in the temporary suspension or permanent exclusion of the Participant from the Loyalty Program, without the Participant being able to make any claim for accumulated and unused points.
NTN EU also reserves the right to suspend or terminate the Subscriber Garage's Subscription, without the Subscriber Garage being entitled to any compensation whatsoever.
NTN EU also reserves the right to take legal action against any Participant who has cheated, committed fraud, or failed to comply with their obligations under these rules.
Termination of the Garage Subscription will result in the Participant being unable to participate in the Loyalty Program and accumulate points under it.
4. ACQUISITION OF LOYALTY POINTS
4.1. Accumulating loyalty points and XP points
Participants may earn loyalty points and XP points through various means: Purchases and completion of Missions, without this being an obligation under their Subscription.
The Participant will accumulate the same number of loyalty points and XP points (excluding warranty claims).
Purchases:
Each Purchase made by the Participant may result in the accumulation of loyalty points and XP points. The list of products that allow the Participant to accumulate loyalty points and XP points, as well as the number of loyalty points associated with them, is attached in Appendix 2-1.
Similarly, the value of each basket when making Purchases on the Website, the first order on the Website, and a minimum number of orders during the same calendar month give rise to the accumulation of loyalty points and XP points under the conditions detailed in Appendix 2-1.
Appendix 2-1 is subject to change, and the latest version, which is binding on the Participant, will always be available on the Website. In addition, in the event of a Purchase on the Website, the number of loyalty points and XP points accumulated will be indicated at the time of each Purchase.
Finally, NTN EU may organize one-off promotional campaigns. These promotional campaigns and their duration will be announced to Participants by email and by publication on the Website. They may give rise to the awarding of additional loyalty points for certain Purchases, selected for the duration of such campaign.
Missions:
The completion of Missions by the Participant results in the accumulation of loyalty points and XP points and may be necessary to move from one Status to another under the conditions set out in Article 4.2 below.
Missions allow Participants to accumulate bonus points by completing activities or Services to be used during the validity period of the points linked to the Status. The Participant is informed of the bonus Missions to be completed via their account on the Website.
The number of points accumulated during Purchases or the completion of Missions, as well as the Statuses, conditions of access, and related benefits are subject to change in the future and are directly accessible on the Website.
4.2. Participant Status
The various Participant Statuses have been established as part of the Loyalty Program to reward Participant activity. The Participant's Status is updated after reaching the number of XP points required to move up to a higher Status.
Only XP points are counted to determine Participant Status.
Thus, depending on the number of XP points the Participant has, a Status is assigned to them under the following conditions:

If the Participant has fewer than 4,000 XP points, he does not have any special status and does not enjoy any benefits associated with a Status.
This table, the required levels of XP points, and the benefits may be modified at any time by NTN EU. The latest updated version of the above table is available on the Website and can be accessed by the Participant at any time.
Each Participant may track the progress of his Status via the Website on the Loyalty Program summary page of his account.
4.3. LOYALTY POINTS AND XP POINTS CREDIT ACCOUNT
4.3.1 Loyalty Points and XP points credit account for Purchases
Loyalty Points and XP points are credited to the account for each Purchase upon submission of proof of Purchase under the following conditions.
4.3.1.1 For SNR/NTN brand products purchased from distributors:
- Scanning the QR Code on the product packaging gives direct access to the registration page, where the VIN number and mileage of the vehicle concerned by the product purchased must be entered.
- Participant can also go directly to the registration page on the Website to enter the requested information.
4.3.1.2 For products sold on the Website:
Loyalty points will be calculated and credited automatically upon confirmation and payment of the order.
4.3.1.3 Under the "7-year Extended Warranty"
If an NTN/SNR product has been registered under the "Extended Warranty" and a claim is made by the Participant and accepted by NTN EU, then the Participant's account will be credited with loyalty points based on a scale corresponding to approximately twice the average purchase price of the category of the product recognized as defective and converted into loyalty points, it being specified that the list of references and the corresponding number of loyalty points are available in Appendix 2-1, in its updated version. No XP points will be credited under the "7 year Extended Warranty" claim.
4.3.2 Loyalty Points and XP points account credit upon completion of Missions
The completion of Missions by the Participant automatically results in the crediting of loyalty points and XP points to the Participant's account, corresponding to the Missions and Status.
4.3.3 Account credit terms
The Participant's account is credited on the basis of the Purchases and Missions he has completed.
Loyalty points and XP points are credited to the Participant's account within twenty-four (24) hours of providing proof of Purchase and completing the Missions.
NTN EU reserves the right to verify the accuracy of the Purchase and to correct, if necessary, the number of points credited.
Any objection concerning the accuracy of the number of points credited to the Participant's account must be made within thirty (30) days of the date of display on the Website, failing which the number of points accumulated will be deemed to have been approved by the Participant.
5. VALIDITY AND USE OF LOYALTY POINTS AND XP POINTS
5.1. Validity period of loyalty points and XP points
Loyalty Points and XP points earned through the Loyalty Program are valid for twelve (12) months from the date they are credited to the loyalty account. The loyalty points balance is therefore subject to increase or decrease over time, depending on the expiration of the 12 rolling months. For example, points credited on September 1, 2025 will be valid until August 31, 2026 inclusive. If all or some of these points are unused on that date, they will cease to have any value on that date and will expire. Under no circumstances may the Partner subsequently obtain any financial compensation from NTN EU (conversion of into monetary value or vouchers).
5.2. Validity period of Status
Access to each Status in the Loyalty Program is subject to
- the Participant obtaining the number of XP points corresponding to the desired Status, according to the scale in force as defined in Article 4.2 above.
Start and calculation of the validity period
The validity period of a Status begins from the date on which the required number of points was acquired, for a period of twelve (12) rolling months from that date.
Practical example
If the Participant reaches 4,000 XP points on January 1, 2026, the Participant will be awarded Bronze Status from January 1, 2026, which will be valid until December 31, 2026.
Renewal and loss of Status
Upon expiry of the validity period calculated as above, the retention or renewal of Status is subject to the condition that the Participant again meets the XP points in accordance with the criteria in force on the date of renewal.
5.3. Conversion and use of loyalty points
XP points cannot be converted and used.
Based on the number of loyalty points accumulated, the Participant may convert his loyalty points into monetary value at any time on the basis of 50 points = 1 euro excluding tax for countries in the euro zone and on the basis of the same order of magnitude for other currencies.
Loyalty points can be used:
- To partially pay the subscription fees for the chosen Subscription, up to a limit of 20% discount per invoice;
- To partially pay for Purchases on the Website (tools, consumables, goodies), up to a limit of 20% discount per invoice.
The Participant's choice to use his loyalty points for one of the above actions is final.
The Participant may only use his loyalty points for one of the above actions if he is up to date with his payments and there is no dispute of any kind between the Participant and NTN EU.
It is specified that loyalty points, converted into monetary value, cannot give rise to any direct payment to the Participant.
Points not used on the date of the Participant's exclusion from the Loyalty Program, termination of the Subscription, or cessation of activity by the Participant for any reason whatsoever, are not transferable to another account. They will be permanently lost and will not give rise to any financial compensation from NTN EU, either in cash or in vouchers. The Participant's loyalty points cannot be transferred or passed on to another Participant.
6. Liability of NTN EU
As the organizer and responsible for the Loyalty Program, NTN EU reserves the right, if necessary, to modify these rules, suspend, or terminate the Loyalty Program. Unless necessary, any modification (with the exception of the Appendices and Article 4), suspension, or interruption of the Loyalty Program will be notified to Participants by email with fifteen (15) days' notice. In any event, the updated version of the rules will be systematically available for consultation and download from the Website.
NTN EU is, in any event, only bound by an obligation of means within the framework of the Loyalty Program.
NTN EU shall only be liable in the event of total or partial non-performance or breach of its obligations hereunder, and its liability shall in any event be limited to immediate and direct damages caused, excluding:
- any indirect or non-immediate loss or damage;
- any immaterial damage;
- any loss of earnings, loss of opportunity, loss of production, loss of use, loss of sales, reduction in asset value, loss of profit, operating loss, loss of turnover;
- any financial consequences of any actions brought by third parties against the Participant.
It is specified that NTN EU shall in no event be held liable, without this list being exhaustive, for any malfunction in the sending of emails preventing the proper functioning of the Loyalty Program, for any computer failure related in particular to the Participant's computer equipment, telecommunications networks, internet connection, security breaches, bugs, etc.
No compensation may be claimed from NTN EU for any modification, suspension, or interruption of the Loyalty Program.
NTN EU cannot be held liable in the event of force majeure or unforeseeable circumstances beyond its control.
7. PERSONAL DATA
Personal data may be collected and processed by NTN EU as part of the Loyalty Program.
Personal data will be kept for the duration necessary to implement the Loyalty Program and beyond, for a period of ten (10) years.
NTN EU implements all appropriate measures to ensure the security and confidentiality of the personal data processed.
In accordance with the applicable regulations on the protection of personal data and within the applicable limits, users whose data is collected may exercise their right to access, rectify, oppose, transfer, limit the processing of, and delete personal data concerning them by sending an email to the following address: dpo@ntn-snr.com. Users also have the right to appeal to the French Data Protection Authority (CNIL) if necessary.

8. FINAL PROVISIONS
The Loyalty Program is subject to French law for its validity, interpretation, and execution, excluding its conflict of law rules.
Any complaint relating to the Loyalty Program (its validity, interpretation, or execution) shall be addressed directly to NTN EU, which shall endeavor to seek an amicable solution to the dispute. Failing this, the dispute shall be submitted to the exclusive jurisdiction of the Courts of Annecy (France).
If any provision of these rules is deemed void or unenforceable by a competent court, the voidness or invalidity of that provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect.

APPENDIX 3: Terms and Conditions applicable to the Extended Warranty Service
NTN Europe ("NTN EU"), acting on behalf of its subsidiaries, including all companies in the NTN group to which NTN Europe belongs, has launched a website, "snr-garage.com" (© NTN Europe) (hereinafter the "Website"), dedicated to garages in order to offer them a range of services.
As part of the "Certified Garages" program, NTN EU offers its garages with a subscription (hereinafter the "Subscribing Garages") an extended warranty offer for all products purchased under the SNR and/or NTN brands sold by NTN EU through its distributors.
The purpose of these terms and conditions is to define the conditions applicable to the extended warranty offer (hereinafter the "Extended Warranty") provided by NTN EU.
1. Terms and Conditions Applicable to the Extended Warranty
The cumulative conditions applicable to the Extended Warranty offer proposed by NTN EU to its Subscriber Garages are as follows:
- The Extended Warranty offer is only available to Subscriber Garages;
- The Extended Warranty may be taken out for all SNR and/or NTN brand products sold by NTN EU through its distributors (hereinafter the "Product(s)"), it being specified that consumables, goodies, and work tools are excluded from the definition of Products;
- The Subscribing Garage must comply with the procedure detailed in Article 2.1 below;
- The restrictions detailed in Article 2.2 below must be complied with.
The warranty covering the Subscriber Garage that has subscribed to the Extended Warranty offer will be extended to:
- a maximum period of 7 years from the date of installation of the Product, or
- a maximum distance of 100 000 km from the vehicle's mileage at the time of installation of the Product, or
- a duration or mileage recommended by the manufacturer if this is specified by the manufacturer for each of its vehicle models;
whichever of the three events listed above occurs first.
2. Procedure and restrictions applicable to the Extended Warranty
2.1 Procedure
The Extended Warranty is a service offered to Subscriber Garages. Therefore, if the Subscriber Garage wishes to benefit from the Extended Warranty, it must follow the procedure described below:
The Product must be registered by the Subscriber Garage when it is installed on the vehicle. To do this, Subscriber Garages have two options, depending on whether or not there is a QR Code on the Product box:
- By scanning the QR code on the Product box, the Subscriber Garage will be redirected to the corresponding page on the Website and will be required to enter the following mandatory information:
- vehicle mileage on the date of installation,
- vehicle identification number (VIN),
- country of registration of the vehicle.
It is specified that the other information required to register the Product for the activation of the Extended Warranty will be pre-filled by NTN-EU.
- If the box containing the Product does not have a QR code or if the QR code is not legible, the Subscriber Garage must register manually on the Website. After going to the page dedicated to the Extended Warranty offer and selecting the "activate extended warranty" option, the Subscriber Garage must enter the following mandatory information:
- vehicle mileage on the date of installation,
- vehicle VIN number,
- country of registration of the vehicle,
- date of installation of the Product on the vehicle,
- Product reference, and
- the 5-digit traceability code of the Product indicated on the label.
2.2 Restrictions
The restrictions applicable to the Extended Warranty are as follows:
- The Product for which the Subscriber Garage wishes to benefit from the Extended Warranty must have been installed and/or assembled by the Subscriber Garage making the request to subscribe to the Extended Warranty offer.
- The vehicle for which the Extended Warranty application has been made must have been serviced by the Subscriber Garage itself and in accordance with the manufacturer's recommendations.
- Any damage or defect resulting from normal wear and tear, an accident, or misuse (including faulty maintenance, improper lubrication, overloading, improper assembly, etc.) of the Products is not covered by the Extended Warranty.
- Prior to assembly, the Product must not have been stored for more than five (5) years.
- The replacement of the Product must not be the result of an accident.
- The Subscriber Garage must comply with installation procedures and best practices.
- The Product must not have been modified.
- The vehicle must not have been used in competition.
It is specified that NTN EU reserves the right to carry out consistency checks. In the event of any inconsistency being found, NTN EU reserves the right to take the necessary measures.
3. NTN EU's commitments
NTN EU's commitments during and after the warranty period are as follows:
- During the warranty period granted by the distributor (generally 2 years)
- The defective Product will be replaced by the distributor in accordance with the usual standard procedure; and
- NTN EU undertakes to award loyalty points to Subscriber Garages according to a scale corresponding to approximately twice the average purchase price of the category of the defective Product, this scale being set by NTN EU, it being specified that:
- the list of references and the corresponding number of loyalty points are available on request;
- the awarding of these points is understood as a contribution by NTN EU to the Subscriber Garage's costs related to the replacement of the defective Product (labor, replacement of related parts, ancillary costs such as towing, storage) and no other compensation of any kind will be granted by NTN EU to the Subscriber Garage. These points are to be used by the Subscriber Garage on the Website.
- After the warranty period granted by the distributor (usually 2 years)
- Reimbursement of the price of the defective Product by NTN EU to the Subscribing Garage on the basis of the Subscribing Garage's purchase invoice issued by the distributor and an invoice issued by the Subscribing Garage to NTN EU.
- NTN EU undertakes to award loyalty points to the Subscriber Garage according to a scale corresponding to approximately twice the average purchase price of the category of the defective Product, this scale being set by NTN EU, it being specified that:
- the list of references and the corresponding number of loyalty points are available on request;
- the allocation of these points is understood as a contribution by NTN EU to the Subscriber Garage's costs related to the replacement of the defective Product (labor, replacement of related parts, ancillary costs such as towing, storage) and no other compensation of any kind will be granted by NTN EU to the Subscriber Garage. These points are to be used by the Subscriber Garage on the Website.
NTN EU reserves the right to ask the Subscriber Garage for any supporting documents it deems necessary in order to verify compliance with the conditions associated with the Extended Warranty. The Subscriber Garage undertakes to provide these documents to NTN EU as soon as possible.
4. Miscellaneous
In the event that any provision of these terms and conditions is deemed illegal, void, or unenforceable under any law, regulation, or treaty applicable to the terms and conditions, that provision shall be deemed ineffective without affecting the other provisions of the terms and conditions, which shall remain in full force and effect.
These general terms and conditions contain the entire agreement between NTN EU and the Subscriber Garage regarding the terms and conditions applicable to the Extended Warranty.
5. Applicable law - Dispute resolution
These general terms and conditions are subject to French law, excluding its conflict of law rules. The language of the terms and conditions is French. It is agreed that in the event of any contradiction between the French version of these general terms and conditions and a version translated into a foreign language, the French version shall prevail.
In the absence of an amicable settlement, any dispute arising from the interpretation or execution of these general terms and conditions, for any reason whatsoever, even in the event of an incidental claim or multiple defendants, shall fall within the exclusive jurisdiction of the courts of Annecy, France.
APPENDIX 4: Terms and Conditions of Service - Training
All terms beginning with a capital letter and not specifically defined have the meaning given to them in the General Subscription Terms and Conditions.
1. Purpose
These General Terms and Conditions of Service (GTCS) for Training govern the contractual relationship between NTN Europe (hereinafter "NTN EU") on the one hand, and any Certified Garage or Subscribing Garage on the other hand (hereinafter the "Certified Garage" or "Subscribed Garage"). These Training GTCS constitute an Appendix to the General Subscription Terms and Conditions, which they are intended to supplement with regard to the specific training service offered by NTN EU (the "Training Service").
The Training Service includes the training offered directly or indirectly by NTN EU to Certified and Subscribed Garages, mainly in the form of tutorials, e-learning, webinars, and technical or commercial professional training courses leading to qualifications.
The Training Service includes the following two aspects:
- Training provided by a partner training organization, following a referral by NTN EU (Case No. 1). To this end, NTN EU has entered into partnerships with training organizations specializing in the field of automotive repair;
- Training provided directly by NTN EU (e-learning, tutorials, live or replay webinars) (Case No. 2).
By using the Training Service, you agree to comply with these GTCS. Please read them carefully before accessing the Training Service.
2. Nature of NTN EU's involvement
NTN EU can intervene in two distinct cases:
Case No. 1 – Referral to a partner organization:
NTN EU offers a referral service between Subscribed or Certified Garages wishing to receive training and training organizations that are legally registered and partners of NTN EU.
NTN EU provides the Subscribed or Certified Garage with a list of training courses offered by the partner, which the garage will contact to register and attend the training. This list is systematically updated on the Website by NTN EU.
In this case, NTN EU does not provide any educational advice, administrative support or invoicing. The training is provided and managed entirely by the partner organization.
Case No. 2 – Training provided by NTN EU:
NTN EU designs and offers its own training courses (e-learning modules, live or recorded webinars, tutorials, etc.) via internal digital platforms (such as Talentsoft) and external platforms (such as YouTube).
The list of content offered by NTN EU is available and systematically updated on the Website. In this context, the training courses offered by NTN EU do not lead to qualifications or certification, with the exception of e-learning courses for which NTN EU has certified training organization status in France.
3. Registration and contracting
Case No. 1 – Training via a partner organization:
Registration is done directly with the partner organization, whose contact details will be provided on the Website. NTN EU is not involved in the signing of the contract, the management of the file, or the issuance of administrative documents.
Case 2 – Training by NTN EU:
Subscribed or Certified Garages can consult the Training Service provided by NTN EU on the Website (https://snr-garage.com), where they can register online.
For e-learning courses and live webinars, registration by the Subscribed or Certified Garage is mandatory and is only validated upon receipt by NTN EU of the registration form and the sending of an acknowledgement of receipt or confirmation of access. Otherwise, the registration will not be considered valid.
Access to tutorials or webinar replays is free and does not require prior registration by Certified or Subscribed Garages.
4. Prices and payment terms
Case No. 1 – Training via a partner:
For Subscribed or Certified Garages located in mainland France:
Prices are set freely by the partner. NTN EU provides a guide price that is not binding on either the partner or NTN EU.
Payment, invoicing and management of any financing are handled directly by the partner.
For Subscribed or Certified Garages located outside mainland France:
NTN EU has negotiated preferential rates with the Partner for the benefit of Certified Garages that have taken out Basic, Pro and Premium Subscriptions. The rates negotiated by NTN EU are listed on the Website and are subject to change.
Payment, invoicing and management of any financing are handled directly by the partner.
Case No. 2 – Training via NTN EU:
The prices of training courses provided by NTN EU are included in the subscription. Therefore, there are no additional costs for Subscribed or Certified Garages.
5. Access to NTN EU digital content
In Case No. 2, training courses (tutorials, e-learning and live and replay webinars) are accessible via the Website with, where applicable, a link to an internal or external platform depending on the training medium. When access to training is granted after registration, access is strictly personal. Any distribution, reproduction or sharing without written authorisation is prohibited.
6. Cancellation/postponement/withdrawal
Case No. 1 – Training via a partner organization:
Any cancellation or request for postponement is subject to the general terms and conditions of sale of the partner training organization.
Case No. 2 – Training by NTN EU:
Once access to digital content has been activated, no claims from Subscribed or Certified Garages will be accepted, even if it is only a postponement of the desired Training.
7. Liability
NTN EU reserves the right to suspend or terminate a Garage's access to the Training Services in the event of non-compliance with these GTCS or applicable laws and regulations, without incurring any liability.
Similarly, the Garage acknowledges and accepts that the Training Service may be temporarily suspended in the event of maintenance or overload, without NTN EU or the partner organization being held liable.
Case No. 1 – In the event of training via a partner organization, NTN EU declines all responsibility for the quality, content, terms of delivery or invoicing of the Training.
Case No. 2 – In the event of training provided by NTN EU, the latter guarantees that the content complies with the stated educational objectives, within the limits of the technical means reasonably available. Certified and Subscribed Garages remain responsible for their professional activity and for the technical work carried out on the vehicles entrusted to them.
8. Intellectual property
All intellectual property rights relating to training materials and other educational resources (including videos, presentations, quizzes, downloadable documents, etc.) made available to Subscribed or Certified Garages as part of the Training Services are the exclusive property of NTN EU or its partners. Consequently, Subscribed or Certified Garages undertake to use said materials and other educational resources strictly for personal use and within the framework of an exclusively professional activity. Subscribed or Certified Garages shall refrain from reproducing, directly or indirectly, in whole or in part, adapting, modifying, translating, representing, marketing or distributing to third parties not participating in the training courses, course materials and other educational resources made available to Subscribed or Certified Garages in the context of the training courses, without the prior written consent of NTN EU and its partners concerned. Any unauthorised use may be subject to legal action.
9. Data protection
Personal data is collected and processed by NTN EU and, independently, by the partner training organization, in the context of the performance of the Training Service.
When NTN EU uses subcontractors, NTN EU ensures that they comply with its instructions, implement all appropriate measures to guarantee the security of users' personal data and comply with the applicable regulations.
Personal data will be kept for the period necessary to provide the Training Service and beyond, for a period of ten (10) years.
NTN EU implements all appropriate measures to ensure the security and confidentiality of the personal data processed.
In accordance with the applicable regulations on the protection of personal data and within the applicable limits, users whose data is collected may exercise their right to access, rectify, oppose, transfer, limit the processing and delete personal data concerning them by emailing the following address dpo@ntn-snr.com. Users also have the right to appeal to the Commission Nationale de l'Informatique et des Libertés (CNIL) [French Data Protection Authority].

10. Modification of the GTCS
NTN EU reserves the right to modify these GTCS at any time. Subscribed or Certified Garages will be informed of any modifications via the Website. The new GTCS will be applicable as soon as they are published, unless otherwise stated.
11. Language - Applicable law - Disputes
These Training Terms and Conditions of Sale have been written in French. If they are translated into another language, in the event of any contradiction between the two versions, the French version shall prevail.
The GTCS are subject to French law for their validity, interpretation and execution, excluding its rules on conflicts of law.
In the event of a dispute relating to a Training course:
- Case No. 1 – When the Training is provided via the partner organization, any complaint relating to the contracting and performance of the Training must be addressed directly to the partner. The Subscribed or Certified Garage initiating a complaint against the partner must immediately inform NTN EU;
- Case No. 2 – When the Training is provided by NTN EU, any complaint relating to the contracting and performance of the Training shall be addressed directly to NTN EU, which shall endeavour to find an amicable solution to the dispute. Failing this, the dispute shall be submitted to the exclusive jurisdiction of the Tribunaux d'Annecy (France).

3. Purpose of the Website and description of the main services
The Website provides access to the following services, depending on the subscription taken out, as detailed in Appendix 1:
- a comprehensive catalogue of data on automotive parts, via our partner TecDoc,
- a price comparison service (public prices for Products from non-connected Sellers) and availability of automotive parts from different brands and distributed by Sellers. It is specified that the prices offered for Products distributed by Sellers Connected to the User are the prices corresponding to their specific conditions within the framework of their commercial relationship. The User will have access to the availability of automotive parts only for those offered by Connected Sellers.
- a centralised "order" tool allowing the User to select Products from different Connected Sellers and to formalize an order that will be transmitted by NTN EU to the Connected Sellers
- repair and maintenance data (repair procedures, adjustment values, wiring diagrams, diagnostic codes, maintenance schedules, labour times, diagram selection, etc.) as well as manufacturer recalls, via our partner TecRMI
Users can search and select Products offered for sale by Sellers on the Website in the field of automotive spare parts, using the criteria provided.
The ranking of Product results following a search depends on the objective criteria selected. By default, it is based on the lowest price, it being specified that this price is that offered by the Seller and may or may not include, depending on the case, the various applicable fees and taxes. The User shall therefore pay close attention to what is included in the price offered by the Seller. The User may choose, under their sole responsibility, to rank the list of Products offered by Sellers on the Website differently.
The list of results of the search carried out by the User is not an exhaustive list of all sellers on the French, European or global market, but only a list of Products offered by Sellers on the Website. The results are not exhaustive of the market, but only of those listed on the Website.
Access to the various features of the services on the Website depends on the subscription taken out, as detailed in Appendix 1. General details of the content of each Subscription, including the associated financial terms and conditions, are also set out on the website https://snr-garage.com and on the subscription page for each Subscription.
4. How orders work
Subject to the User subscribing to the subscription that enables this feature (Pro or Premium subscription) as detailed in Appendix 1, the User may place an order with their Connected Sellers via the Website.
The contract for the purchase of Products is concluded between the User and the Connected Seller. The Publisher is an intermediary that receives the order placed by the User and transmits it to the Connected Seller.
Products are selected for order placement via the 'add to basket' button.
The User may modify the shopping basket until final confirmation.
The order is confirmed when the User clicks on the 'order' button.
It is then transmitted by the Publisher to the Connected Seller concerned. The rest of the sales process (payment, preparation, shipping, invoicing, after-sales service, etc.) is managed directly by the Connected Seller, in accordance with its General Terms and Conditions of Sale (it being specified that the User must have a customer account with the Connected Seller).
In particular, payment for the order is made by the User directly to the Connected Seller and under the Connected Seller's terms and conditions (no payment for Products is made on the Website).
The User can find information about its orders and the related invoices issued by the Connected Seller concerned on the Website (under the "Orders" tab for orders and the "Documents Received" tab for invoices).
Once an order has been confirmed on the Website, it cannot be cancelled on the Website: to cancel an order confirmed on the Website, the User must contact the Connected Seller concerned.
5. General obligations of Users
5.1. Relating to their account
The User uses their SNR account (from the https://snr-garage.com website) to access the Website.
The User guarantees that he has provided accurate information when creating his account.
The User undertakes to protect access to his account and not to allow its use by third parties. User accounts are not transferable.
The User is responsible for the confidentiality of his password and for any actions carried out via his account.
5.2. Regarding use of the Website
The User undertakes to use the Website in accordance with and solely for the purposes of these terms and conditions.
In particular, the User undertakes the following commitments, for which he is liable:
- not to allow third parties to access their account, as Users are responsible for any action taken on or via their account, including actions taken by a third party who has gained access to it;
- not to interfere technically with the functioning of the Website (scripts, scraping, spamming, server overload, use of mechanisms or software affecting the functioning of the Website, etc.);
- not to publish profiles or personal information and data of other users;

The User must, where applicable, verify the information relating to the Product or the Seller when ordering a Product, with or on the Seller's website.
Any complaint by the User concerning any information provided on the Website by a Seller that proves to be incorrect, erroneous or out of date shall be addressed directly to the Seller, who shall assume all responsibility in this regard.
The Publisher undertakes to correct any errors reported to it by Users and/or Sellers as quickly as possible, after carrying out the necessary checks.
7.2. Regarding the sale of Products
